Prado Valley One HOA Meeting Minutes – Wednesday March 19, 2025

Quarterly Membership Meeting ~

In Attendance:  David Shavor, Sherry Malone, Mike Stotts, Leonard Valdez, Cindy Valdez,  Art Dana, Jill Coursin, Carolyn Bassett, Tracy McBride, Pete and Laura Gianniny, Mark Ritchie

6:35 pm Meeting was called to order.

Minutes from previous membership meeting were read.  Pete Gianniny posed a question regarding the meaning of “good standing” recorded in the prior minutes.  Minutes approved by Sherry Malone and seconded by Mike Stotts.

Treasurers quarterly report:  The quarterly financial report was presented.   The treasurer presented a proposed new method of accounting of HOA funds.   The restructuring would allow the HOA to designate funds to a new Road Maintenance Fund (RMF) to be used specifically for improvement of HOA maintained roads.  2024/2025 drivers fees and HOA donations (and future) will be distributed to fund the RMF.  Yearly HOA membership dues and assessments will be allocated to the HOA General Fund for HOA expenses i.e. insurance, web hosting, administrative costs, and legal fees.  A motion to adopt the accounting restructuring was made and adopted by attending members.

Road maintenance donation letters/email were sent to 10 non-member residence who access Bean Creek Dr. and Buffalo Trail.  The HOA received one donation in response to the request.  Secretary will follow up with an additional letter requesting contributions.

OLD BUSINESS:

Proposed 2025 HOA Bylaws Revision: On February 1st the HOA initiated a membership wide request for review and vote on  the proposed HOA bylaw updates.  The due date for voting was March 18th , 2025.  The proposed bylaws vote passed with 84% affirmative votes. 

39 Total Members, 25 Members “in good standing” qualified to vote, 21 YES, 4 NO, 14 NULL

Proposed revision of the 2014 Protective Covenants:  The HOA review committee will reconvene on March 26, 2025 for one final review of the proposed updated protective covenants.   After legal overview of the covenant rules and supporting documents, the HOA plans to request the general membership for a vote to adopt the new covenants.

Road Committee Report:   On March 14, the HOA road committee conducted an inspection of all the HOA maintained roads.  A copy of the report is available to any member upon request.   On Friday, March 21th, at 1:00 pm the road committee plans to work on and around the Bean Creek Dr. bridge to remove debris and work on the culvert near the Bean Creek Dr. entrance.  Volunteers willing to assist are most welcome.  Contact Mike Stotts for information.

On Saturday, March 22, the road committee will meet with a road equipment contractor, Ron Rasson, to evaluate and quote proposed road improvements.

Status of HOA member, Myisha Boyde, 31 Yermo Dr., Litigation:  As of March 19, 2025 Ms. Boyde has not fully complied with the injunction imposed on her for HOA violations.  The HOA plans to follow up with legal counsel for possible contempt of court action..

NEW BUSINESS:

Russian Thistle:   With the arrival of Spring winds, we have tumble weeds (Russian Thistle). Land owners are encouraged to practice good land stewardship and clean up the weeds as best we can.  Rio Arriba county allows property owners to burn weeds on most weekends.  A free burn permit is required and can be obtained at the County offices in Espanola.

Utility service providers (install and repair):  Mike Stotts is  compiling a list of recommended service providers who service our area such as plumbers, electricians, chimney sweeps, etc.  If you have experience with a repair person you would recommend, or not, send the information to Mike.
